You don't have to root or have your bootloader unlocked to update it using Flashtool

However you do need your bootloader unlocked to installed a rooted image so you can then uninstall the bloatware ie: for me thats facebook, timesscape and twitter etc etc

it's better to update to ICS and then disable the apps
